Welcome to The Midwinter Minis Store! These Terms & Conditions (“Terms”) govern your use of our website and the purchase of products from our store. By accessing our site or placing an order, you agree to these Terms. Please read them carefully. Nothing in these Terms affects your statutory rights as a consumer.

1. General Information

This website is operated by Midwinter Minis Store, powered by Shopify. Throughout the site, the terms “we”, “us”, and “our” refer to Midwinter Minis Store.

We may update or change these Terms from time to time by posting the revised version on our website. The version that applies to your order is the one published here at the time you place it.

2. Eligibility & Account Security

To use this site and place an order, you must:

  • Be at least 18 years old, or have permission from a parent/guardian.

  • Provide accurate, complete, and current purchase and account information.

  • Maintain the security of your account credentials. You are responsible for all activity under your account.

3. Products & Availability

  • Descriptions: We do our best to ensure product descriptions, images, and prices are accurate. However, colors may vary depending on your display, and errors may occur.

  • Preorders: The Backdrop Binder is currently sold on a preorder basis. This means you are ordering an item that has not yet been produced or is not yet in stock. Production may depend on reaching a minimum number of orders, and any delivery date is an estimate. Full preorder terms are set out in section 5.

  • Visual Representation: For items purchased on preorder (such as The Backdrop Binder), the final manufactured product may differ in features, finish, materials, or packaging due to the manufacturing process. 

  • Availability: Products are subject to availability. We reserve the right to limit quantities, update pricing, or discontinue items at any time without notice. Products are for personal use only and not for resale. We may limit quantities or decline or cancel an order, for example, if an item is unavailable or there has been a genuine pricing error, and where we do, we will refund you in full.

4. Prices & Payment

  • Prices are listed in GBP (£) and include UK VAT where applicable, but exclude shipping costs unless specified at checkout.

  • For international orders outside the UK, prices may be converted to your local currency at checkout or by your payment provider. Local taxes, customs duties, and import fees are not included in the purchase price and remain the responsibility of the customer upon delivery. 

  • We accept payment through secure third-party providers (e.g., Shopify Payments, credit/debit cards). We do not receive or store your full card details.

  • Orders are not accepted until payment is processed and confirmed. For preorders, payment is taken in full at the time you place your order.

5. Preorder Terms

By placing a preorder for the Hooded Seal Plush, you agree that:

  • Conditional production. Production will only go ahead if a minimum number of preorders is reached. If that threshold is not met, we may cancel production and will refund all preorders in full.

  • Estimated delivery. Any dispatch or delivery date we give is an estimate. It may change because of production, materials, or supplier delays. We will keep you updated and give you a revised timeframe if it changes.

  • Your right to cancel is preserved. Because you are buying at a distance, you keep the statutory right to cancel described in section 7, including the right to cancel for a full refund if we do not deliver within the agreed period or, where none was agreed, within 28 days of your order.

  • If we cancel the project. If we cancel production, you will receive a full refund to your original payment method.

6. Shipping & Delivery

  • Shipping costs and estimated delivery times are provided at checkout.

  • Delivery times are estimates and not guarantees; delays may occur due to carriers, customs, or unforeseen issues.

  • For items purchased on preorder (such as The Backdrop Binder), estimated dispatch and delivery dates are indicative only. These timelines depend on manufacturing, supplier lead times, and international transit schedules, and are subject to change. We will keep you updated on progress, but delivery by a specific date cannot be guaranteed. 

  • Risk of loss transfers to you upon delivery. International buyers are responsible for any local import duties or fees.

7. Cancellations, Returns & Refunds

Our Returns & Refunds Policy forms part of these Terms. Purchases and returns are subject to your statutory rights under UK Consumer Law and our Refund Policy 

8. Intellectual Property

All content on this website including product designs, graphics, text, and logos is the property of Midwinter Minis Store and protected by UK and international copyright laws. You may not reproduce or distribute our content without written permission.

9. Limitation of Liability

  • To the extent permitted by UK law, our products are provided "as is" for hobby and decorative use only.

  • Midwinter Minis Store and Shopify are not liable for any indirect, incidental, or consequential damages arising from site or product use.

  • Our total liability for any claim shall not exceed the total amount you paid for the product.

10. Third-Party Services & Links

Our store uses third-party tools and links (including Shopify and payment processors). These services operate under their own terms and privacy policies. Shopify is not responsible for sales or claims arising from your transactions with us.

11. Events Outside Our Control

We are not liable for any failure or delay in meeting our obligations where that failure or delay results from events outside our reasonable control (for example, supply failures, industrial action, or extreme weather). If such an event affects a preorder, we will contact you with a revised timeframe or offer you a refund.

12. Automated Use & AI

You may not use scraping tools or bots without permission. Any authorized automated software or AI "Agents" must explicitly identify themselves in HTTP headers (e.g., Agent/[agent name]) and must not attempt to bypass security measures or CAPTCHAs.

13. User Feedback

Any ideas, reviews, or suggestions you submit grant us a perpetual, royalty-free license to use and publish that content. Submissions must not violate third-party rights or contain malicious code.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts in England and Wales. If you are a consumer resident elsewhere, you continue to benefit from any mandatory consumer-protection rules of your country of residence.
